Throughout these Terms of Service, the terms "you" and "your" refer to the user or customer visiting or transacting on the Site.

 

The Services are powered by Shopify Inc., which provides the e-commerce platform enabling us to offer our products and services to you.

 

By visiting our website, browsing our content, or completing a purchase, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Return, Exchange & Refund Policy, and our Shipping Policy, all of which are incorporated herein by reference. If you do not agree to these Terms, please do not use the Site or Services.

 

If there is any conflict between these Terms and our Privacy Policy, the Privacy Policy controls with respect to the collection, use, and disclosure of personal information.

RefinedByJV reserves the right to refuse service to anyone at any time, for any reason, at our sole discretion.

3.1 Product Availability

All products offered on the Site are subject to availability. We reserve the right to limit the sale of our products to any person, geographic region, or jurisdiction, and to discontinue any product at any time without notice.

 

From time to time, we may offer limited edition or limited quantity products. These are subject to availability and will be sold on a first-come, first-served basis. We are under no obligation to restock any limited edition item.

3.2 Product Descriptions and Imagery

We make every effort to display our products as accurately as possible, including colors, materials, and dimensions. However, we cannot guarantee that your device's display will accurately reproduce the exact appearance of any product. Minor variations in color or finish are not considered defects.

3.3 Pricing

Prices on the Site are displayed in Canadian dollars (CAD) and United States dollars (USD) depending on your location. The applicable currency will be determined at checkout based on your billing region.

 

All prices are subject to change without notice. We are not obligated to honor any pricing errors, and we reserve the right to cancel any order placed at an incorrect price. If a pricing error affects your order, we will notify you and offer you the opportunity to confirm the order at the correct price or receive a full refund.

 

Prices do not include applicable taxes, duties, or shipping costs, which will be calculated and displayed at checkout.

3.4 Taxes

Applicable federal and provincial taxes (including GST, HST, and PST where applicable) will be added to orders shipped within Canada, calculated based on your shipping address. 4.1 Guest Checkout

RefinedByJV operates on a guest checkout basis. You do not need to create an account to place an order. All purchases are made by providing your contact, shipping, and payment details directly at checkout.

4.2 Order Confirmation

After placing an order, you will receive an order confirmation email to the address provided at checkout. This confirmation acknowledges receipt of your order and does not constitute our acceptance of it. We reserve the right to cancel or refuse any order at any time for any reason, including but not limited to product unavailability, errors in product or pricing information, or suspected fraudulent activity.

 

If we cancel your order after payment has been collected, we will issue a full refund to your original payment method within 10 business days.

4.3 Order Accuracy

You are responsible for ensuring that all information provided at checkout — including your name, shipping address, email address, and payment details — is accurate and complete. RefinedByJV is not liable for orders that are delayed, lost, or undeliverable due to incorrect information provided by you.

4.4 Fraud Prevention

We reserve the right to screen all orders for potential fraud or risk. If an order is flagged, we may contact you to verify your details before processing. Orders that cannot be verified may be cancelled at our discretion.

Payment must be made in full at the time of purchase. We accept major credit and debit cards and other payment methods as displayed at checkout, all processed securely through Shopify's payment infrastructure.

 

By submitting a payment, you represent and warrant that you are authorized to use the payment method provided and that the payment information you submit is accurate.

 

We do not store your full credit card or financial account details. All payment data is handled by our payment processors in accordance with applicable security standards (PCI-DSS).

From time to time, RefinedByJV may offer promotional discounts, promo codes, or incentive offers (such as a discount on your first order when signing up for our email list). The following conditions apply to all promotional offers:

 

•       Promotional offers are subject to availability and may be withdrawn or modified at any time without notice;

•       Promo codes must be applied at the time of checkout and cannot be applied retroactively to completed orders;

•       One promotion or promo code may be used per order unless otherwise stated;

•       Promotional discounts cannot be combined with other offers unless explicitly stated;

•       Promotions apply only to qualifying products and orders as specified in the offer terms;

•       RefinedByJV reserves the right to refuse or revoke a promotional offer if it suspects misuse, abuse, or fraudulent activity.

 

Email sign-up incentives (such as a percentage discount on your first purchase) are valid for new subscribers only. One discount per customer. Subscribing using multiple email addresses to claim repeated discounts constitutes misuse and we reserve the right to cancel such orders.

Title and risk of loss for any products purchased from us pass to you upon delivery to the carrier. RefinedByJV is not responsible for delays caused by carriers, customs processing, incorrect addresses, or circumstances beyond our control.

Our Return, Exchange & Refund Policy governs all requests for returns, exchanges, and refunds, and is incorporated into these Terms by reference. Please review it carefully before making a purchase. By completing a purchase, you acknowledge that you have read and agreed to our Return, Exchange & Refund Policy.

9.1 Our Content

All content on the Site — including but not limited to the RefinedByJV name, logo, brand identity, product designs, photography, graphics, text, and other materials — is the property of RefinedByJV and is protected under applicable Canadian and international intellectual property laws, including the Copyright Act (Canada) and common law trademark rights, whether or not formally registered.

 

You may not reproduce, duplicate, copy, sell, resell, modify, distribute, or otherwise exploit any content from the Site without our express prior written permission.

9.2 Trademark Notice

The RefinedByJV name, logo, and any associated product names or slogans are unregistered trademarks of RefinedByJV. Unregistered trademarks are still protected under Canadian common law. Unauthorized use of our brand identity, including in a manner that is likely to cause confusion or suggest affiliation with RefinedByJV, is prohibited.

 

Note: We intend to seek formal trademark registration for our brand assets in Canada and, where applicable, the United States. Until such time, our common law trademark rights remain in force from the date of first use in commerce.

9.3 User Submissions

If you choose to submit any feedback, ideas, suggestions, photographs, or other content to us (for example, through email or social media), you grant RefinedByJV a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, and display such content in any form and for any purpose, without compensation to you.

 

You represent and warrant that any content you submit does not infringe the rights of any third party, including intellectual property rights, privacy rights, or personality rights.

By using the Site, you agree not to:

 

•       Use the Site for any unlawful purpose or in violation of any applicable local, provincial, federal, or international law or regulation;

•       Use the Site to infringe upon or violate the intellectual property rights of RefinedByJV or any third party;

•       Transmit any unsolicited commercial communications, spam, malware, viruses, or other harmful or disruptive code;

•       Attempt to gain unauthorized access to any part of the Site, its servers, or any related systems or networks;

•       Collect or harvest personal information about other users without their consent;

•       Submit false, misleading, or fraudulent information, including payment information or returns;

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Canadian law.

You agree to indemnify, defend, and hold harmless RefinedByJV and its partners, employees, agents, contractors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

 

•       Your breach of these Terms;

•       Your use or misuse of the Site or our products or services;

•       Your violation of any applicable law or regulation; or

•       Your infringement of any third-party rights, including intellectual property rights.

15.1 Contact Us First

We encourage you to contact us before initiating any formal legal proceeding. Most concerns can be resolved quickly and informally. Please reach out to us at hello@refinedbyjv.com with a description of your issue, and we will make every reasonable effort to resolve it within 15 business days.

15.2 Arbitration

If a dispute cannot be resolved informally, you and RefinedByJV agree to resolve it through binding arbitration rather than through the courts, except as provided below.

 

Arbitration shall be conducted in British Columbia, Canada, in accordance with the Arbitration Act (BC), RSBC 2020, c 2, by a single arbitrator mutually agreed upon by both parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

 

Each party shall bear their own costs of arbitration unless the arbitrator determines otherwise.

15.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction in British Columbia to prevent irreparable harm, without waiving the right to arbitration for all other disputes.

15.4 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as part of a class, collective, or representative action.

These Terms of Service are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

 

To the extent that any matter is brought before a court (including for enforcement of an arbitral award), you consent to the exclusive jurisdiction of the courts of British Columbia, Canada.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

These Terms of Service, together with our Privacy Policy, Return, Exchange & Refund Policy, and Shipping Policy, constitute the entire agreement between you and RefinedByJV with respect to your use of the Site and supersede all prior or contemporaneous agreements, representations, warranties, or understandings.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorized representative of RefinedByJV to be effective.
